1. Who we are
Alayo and the website alayo.ai (the “Site”) are operated by ThinkAsModel Limited (思模科技有限公司), a company incorporated in Hong Kong (“we”, “us”). Contact: [email protected].
By using the Site or purchasing our products, you agree to these terms.
These terms cover the Site and Alayo Workbench software licenses purchased through it. Alayo Notes is distributed and sold through the Apple App Store; its purchases and refunds are governed by App Store terms, and the purchase, pricing, license and refund provisions below apply to Alayo Workbench only.
2. Product and services
Alayo Workbench is a visual file workbench for macOS: your files stay where they are on disk, and you organize them on a canvas — AI proposes, you approve, and you can always undo. The Site provides product information about Alayo Workbench, downloads, update-notification sign-up, and purchasing. Alayo Workbench 1.0 is a one-time paid license, not a subscription.
3. Purchase and license delivery
Buying Alayo Workbench 1.0 gives you a software license: you pay once, and as soon as the payment provider confirms payment we show your license key on the checkout-complete page; you can also recover it via [email protected] with your order receipt. Once released, the installer is a free download on the download page (current availability is shown there), and after installing you can try it for 14 days before deciding to buy.
4. Pricing and payment
Current pricing is shown on the product pricing page and at checkout (launch early-bird price US$39, regular price US$59, in US dollars; the early-bird price is a limited-time launch offer — whether it is still available is shown on the pricing page; some regions may see local-currency pricing — the amount shown at checkout is final).
Payment is handled by third-party payment providers over HTTPS. We never see or store your card details; card data is handled by the payment provider in accordance with PCI-DSS:
- Orders completed via Paddle are sold by Paddle as Merchant of Record, and Paddle’s buyer terms (see paddle.net) also apply at checkout;
- Orders completed via Stripe are sold by ThinkAsModel Limited, with payment processed by Stripe.
5. Software license and trial
Your purchase grants you a license to use Alayo Workbench — not ownership of the software. License terms:
- Licensed to a single user, activated on up to 2 devices (personal or professional use alike);
- Works offline indefinitely after activation;
- Covers updates to Alayo Workbench 1.x; future major versions (such as 2.0) may require a paid upgrade;
- Alayo Workbench offers a 14-day full-featured free trial; when the trial ends without a purchase, the app becomes read-only — you can still view what you organized, but not organize anything new.
Alayo Workbench may include promotional AI credits with a trial or software license. Trial promotional credits are limited in number and offered while they last; whether a license includes promotional credits, and how many, is as described on alayo.ai at the time of purchase; trial promotional credits do not carry over to a license. Promotional credits are provided at no separate charge, have no cash value, and may be subject to per-user and shared monthly limits.
License holders can also buy AI credits on alayo.ai in fixed packs (applicable taxes may be added at checkout). Included AI uses credits per request; different features use different amounts, as reflected in your balance. Purchased credits are used after promotional credits, have no cash value, are tied to the license they were bought for, and cannot be transferred or exchanged. Refunds of purchased credits follow the Refund Policy. If a refund or payment reversal leaves your purchased balance negative, included Alayo AI is paused until you top up again. Paid usage may be subject to service-wide daily limits.
Availability of included Alayo AI is not guaranteed. When you choose included Alayo AI, relevant content is relayed to third-party large language model providers (see Section 2 of the Privacy Policy); their applicable terms and privacy policies also govern their processing. If you use your own API key, your chosen provider’s terms apply instead.
You may not resell, rent out, or publicly distribute license keys, or reverse-engineer the software (except where permitted by law). The files and content you organize with Alayo Workbench remain yours, always.
6. Refunds and cancellation
Refund conditions are set out in the Refund Policy. Alayo Workbench is a one-time purchase — not a subscription, with no auto-renewal — so there is no subscription to cancel. Refunds follow the process in the Refund Policy.
7. Intellectual property
The Alayo Workbench software and the contents of the Site (including text, design, and logos) belong to us or our licensors and are protected by intellectual property laws. These terms grant you no rights beyond the license in Section 5.
8. Disclaimer and limitation of liability
The software is provided “as is”. To the maximum extent permitted by applicable law, we disclaim implied warranties of merchantability and fitness for a particular purpose, and our total liability to you in connection with these terms is capped at the amount you actually paid. Nothing in these terms excludes rights or liabilities that cannot be excluded by law.
9. Export and legal restrictions
Your use of the software must comply with applicable export-control and sanctions laws. If your jurisdiction prohibits receiving this software or service, please do not purchase.
10. Governing law
These terms are governed by and construed under the laws of the Hong Kong Special Administrative Region, and disputes arising from them are submitted to the jurisdiction of the Hong Kong courts.
11. Changes to these terms
We may update these terms from time to time and will revise the “Last updated” date above; material changes will be announced on the Site or by email. Continued use after a change constitutes acceptance.
12. Language
These terms are provided in English and Chinese. If the two versions diverge, the English version prevails.
